URAC may revise and update these Terms of Use at any time. Your continued usage of the Site and Services will mean you accept those changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE. TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL URAC , ITS AFFILIATES, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO THE SITE, OR THE SERVICES, IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF, OR IN CONNECTION WITH USE OF THE SITE OR SERVICES.

Although URAC does its best to ensure each URAC-accredited organization conducts its operations in a manner consistent with URAC standards, URAC cannot and does not endorse, guarantee, warrant or recommend any specific organization, company, product or service discussed or advertised on the Site or linked to from the Site.

Unless otherwise stated expressly, any opinion, view or idea expressed, or any content contributed or published by third parties is the author’s own and does not reflect the views of URAC or its affiliates, employees, agents, officers, or directors.

USAGE RIGHTS
The Site and Services are owned by URAC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Site and Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
You may print one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

Subject to your compliance with these Terms of Use, URAC grants to you a personal, non-exclusive, non-assignable and non-transferable license to use the Site and Services solely as permitted under these Terms of Use. In using the Site and Services, you agree to abide by these Terms of Use, as amended from time to time. This is a grant of a license, not a transfer of title, and under this license you agree:

Only one individual may access the Service at a time using a single user name and password, unless agreed to otherwise in writing.
You shall not rearrange, modify, republish, display, reproduce, copy, download, store, transmit, disseminate, transfer or post the Content from the Site or Service onto any other media without the express written consent of URAC.

You shall not attempt to decompile or reverse engineer any of the Services available through the Site.
You shall not access any part of the Site or Services to which you are not authorized; nor shall you attempt to circumvent any restrictions imposed on your use or access of the Site or Services.
You shall not use the Site or Services in any commercial product or service, including but not limited to, creating public displays, applications, or other products and/or services that use the Site or Services.
You shall not use, intentionally or unintentionally, the Site or Services in a manner contrary to or in violation of any applicable international, national, federal, state or local law, rule or regulation.
You shall not use the Site or Services for any unlawful purpose. URAC reserves the right to terminate and/or restrict access to the Site or Services if such usage may violate any laws, regulations, and/or rulings, infringe upon another person’s rights or violate these Terms of Use.

Additionally, you agree not to:

Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Site, including their ability to engage in real time activities through the Site.
Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Site.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by URAC at any time. Upon terminating your license to the Site and Services, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Any unauthorized or prohibited use of the Site or Services may subject you to civil liability, criminal prosecution or both, under applicable federal, state, local laws, or applicable foreign laws, rules, regulations and treaties.

REGISTRATION AND ACCOUNT INFORMATION
To access the Site or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Site that all the information you provide on the Site is correct, current, and complete. URAC is not responsible for any loss or damage arising from your failure to comply with the provisions of this section.

TERMINATION
You acknowledge and agree that URAC may terminate your access privileges without notice to you for any reason, including without limitation, if (i) you do not use the Site or Service for what URAC, in its sole discretion, deems to be an extended period of time, (ii) URAC believes that you have violated any provision of these Terms of Use, and/or (iii) you have otherwise acted in any manner that URAC deems objectionable. You agree that any termination of your access to the Site or Service shall not result in any liability or other obligation of URAC to you or any third party in connection with such termination.

TRADEMARKS
The URAC name and logo, and all related names, logos, product and service names, designs, and slogans are trademarks of URAC or its affiliates or licensors. You must not use such marks without the prior written permission of URAC. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

NOTICE OF INFRINGEMENT
Entities and individuals who believe that their intellectual property rights have been infringed by unauthorized use of their protected works, names, trademarks or logos appearing on this Site may contact URAC at 202-216-9010 or e-mail us at communications@urac.org and request that the infringing materials be removed or that access to it be blocked. URAC will use reasonable efforts to investigate complaints, and to take any action that it, in its sole discretion, believes is appropriate under the circumstances.

USE OF LINKED SITES
The links to any non-URAC owned web sites, if any, are provided only as a convenience to you and do not constitute any endorsement of the linked web sites or of any information, services or products that are provided or offered by the linked web sites. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Site, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

INDEMNIFICATION
You agree to defend, indemnify, and hold harmless URAC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site or Services.

SEVERABILITY
If any provision of these Terms of Use is deemed unlawful, unenforceable, or void, then that provision shall be seemed severable from the remaining provisions and shall not affect the remaining provisions’ validity and enforceability.

APPLICABLE LAW; JURISDICTION AND VENUE
All matters relating to the Site, Services and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims) shall be governed by the internal laws of the District of Columbia, without reference to its choice of law provisions. If there is a dispute between you and URAC, you expressly agree that exclusive jurisdiction and venue reside in the federal courts located in Washington, D.C.

ENTIRE AGREEMENT
These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and URAC regarding the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
